TERMS OF SERVICE

1. Introduction

Welcome to Astreaux! These Terms of Service ("Terms") govern your use of our AI sales assistant services ("Services"). The Services are operated by Bredrin Technologies LLC, doing business as Astreaux (“Astreaux,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Services Description

Astreaux is an AI sales assistant that automates responses to advertisement forms and sets up sales appointments via SMS, Facebook, Instagram, and WhatsApp. The Services are designed to enhance your sales processes by providing automated communication tools.

3. Eligibility

By using our Services, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and will use the Services only for lawful purposes and in accordance with these Terms.

4. Account Registration

To use certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information;

  • Maintain the security of your account credentials;

  • Notify us immediately of any unauthorized use;

  • Be responsible for all activities under your account.

5. Prohibited Uses

You agree not to:

  • Use the Services for unlawful purposes;

  • Impersonate others;

  • Interfere with or disrupt the Services;

  • Violate any applicable laws.

Prohibited Content

Prohibited messaging includes but is not limited to:

  • SHAFT violations (Sex, Hate, Alcohol, Firearms, Tobacco)

  • Illegal substances

  • High-risk financial services

  • Third-party lead generation without consent

  • Spam, phishing, or deceptive messaging

Businesses that repeatedly violate messaging regulations may face suspension or termination.

6. Intellectual Property

All content, features, and functionality of the Services are the exclusive property of Astreaux and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.

By using the Services, you consent to our data practices.

8. Payment and Billing

If you purchase Services, you agree to pay all associated fees. Payments are non-refundable except where required by law or expressly offered in writing.

We reserve the right to modify fees with 30 days’ notice. Annual contracts are not subject to price changes until renewal.

9. Termination

We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases immediately.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, Astreaux shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

In no event shall Astreaux’s total liability exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Astreaux (Bredrin Technologies LLC), its affiliates, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services;

  • Your violation of these Terms;

  • Your violation of any applicable law;

  • Any communications sent through the Services;

  • Your failure to obtain legally required consent prior to contacting individuals.

This obligation survives termination.

13. SMS Terms and Carrier Requirements

Astreaux provides automated SMS communications related to sales engagement and appointment scheduling.

Message and data rates may apply.
Carriers are not liable for delayed or undelivered messages.

14. Telephone Consumer Protection Act (TCPA) & Communications Compliance

Use of the Services to send automated messages may be subject to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing laws, and other applicable regulations.

By using the Services, you represent, warrant, and agree that:

  1. You have obtained all legally required prior express consent or prior express written consent from recipients before sending automated marketing communications.

  2. You maintain documented proof of such consent.

  3. You will not upload, purchase, scrape, rent, or otherwise use contact lists without lawful authorization and consent.

  4. You are solely responsible for compliance with all applicable messaging, telemarketing, privacy, and consumer protection laws.

  5. Astreaux does not verify the legality of your contact lists or campaigns.

Astreaux shall not be liable for any claims, investigations, penalties, or damages arising from your failure to comply with applicable communication laws.

We reserve the right to suspend or terminate accounts suspected of unlawful messaging practices.

15. AI Usage and Responsibility

Astreaux uses artificial intelligence models to assist with messaging and lead engagement. You acknowledge that:

  • AI-generated content may require human review;

  • You are solely responsible for reviewing and approving communications before sending;

  • You remain responsible for compliance with all applicable laws.

Astreaux does not guarantee legal compliance of any AI-generated content.

16. User Content and Data Ownership

You retain rights to the content and data you provide. By using the Services, you grant us a limited license to host and process content solely to operate and improve the Services.

We do not sell your content except as required by law or necessary to provide core functionality.

17. Third-Party Services

The Services may integrate with third-party platforms (including Meta, HubSpot, Twilio). We are not responsible for disruptions, data loss, or policy enforcement by these providers. Your use of third-party platforms is governed by their respective terms.

Failure to comply with third-party policies may result in suspension or termination.

18. Force Majeure

Astreaux shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, labor disputes, or pandemics.

19. Governing Law

These Terms are governed by the laws of the State of California. You agree to the exclusive jurisdiction of the state and federal courts located in California.

20. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with reasonable notice. Continued use of the Services constitutes acceptance of updated Terms.
